1. Acceptance of Terms
By accessing or using FrameLock (“Services”), you agree to be bound by these Terms. If you do not agree, you may not use the Services. We may update these Terms at any time, and continued use constitutes acceptance.
2. Description of Services
FrameLock provides tools to create and manage digital galleries, websites, and online stores, including the ability to receive payments through third-party providers such as Paystack.
3. Account Registration
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity under your account.
4. Payment Processing (Paystack)
FrameLock uses Paystack to process payments. By using paid features, you authorize Paystack and FrameLock to process payments, subscriptions, and applicable fees. We do not store full card details. Payments may be subject to Paystack’s compliance, fraud checks, and banking regulations. We are not responsible for payment failures caused by banks or payment processors.
5. KYC and Compliance
To comply with financial regulations and Paystack requirements, we may request identity verification, business information, or bank details. We may suspend or restrict accounts that fail compliance checks or show fraudulent activity.
6. Fees and Subscriptions
Paid plans are billed in advance and may auto-renew unless cancelled. All fees are non-refundable except where required by law. Failure to complete payment may result in suspension or loss of access to Services.
7. User Conduct
You agree not to use the Services for unlawful, fraudulent, or abusive activities, including prohibited transactions under Paystack or applicable law. Violations may result in account termination.
8. Content and License
You retain ownership of your content. You grant FrameLock a limited license to host, store, display, and process your content solely to provide the Services.
9. Payouts and Settlements
Where applicable, payouts are processed through Paystack and subject to their settlement timelines. We are not responsible for delays caused by banks or payment processors. We may delay payouts for fraud prevention or compliance review.
10. Refunds and Chargebacks
Refunds are handled at our discretion or as required by law. Chargebacks may result in suspension or termination of your account. You are responsible for resolving disputes with your customers.
11. Data Protection (NDPR)
We comply with the Nigeria Data Protection Regulation (NDPR). We collect and process personal data only to provide Services, process payments via Paystack, and comply with legal obligations.
12. Third-Party Services
FrameLock integrates third-party services such as Paystack. We are not responsible for third-party service availability, performance, or compliance.
13. Service Availability
We do not guarantee uninterrupted access to the Services. Downtime may occur due to maintenance, system failures, or third-party outages including Paystack.
14. Termination
We may suspend or terminate your account at any time for violations, fraud risk, compliance issues, or legal requirements.
15. Limitation of Liability
To the maximum extent permitted by law, FrameLock is not liable for indirect, incidental, or consequential damages. Our liability is limited to fees paid in the last billing cycle.
16. Indemnification
You agree to indemnify FrameLock against claims arising from your use of the Services, your content, or your violation of these Terms.
17. Intellectual Property
All FrameLock branding, software, and platform content remain the property of FrameLock. You may not copy, modify, or redistribute without permission.
18. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to applicable payment processor rules and international financial compliance standards.
19. Changes to Terms
We may update these Terms from time to time. Continued use of the Services means you accept the updated Terms.
